These Terms & Conditions ("Terms") govern your access to and use of eInvoicePad at https://einvoicepad.com, including its calculators, invoice generator and related pages (the "Service"), operated by Yaswanth Somala, trading as eInvoicePad ("we", "us", "our"). Please read them carefully.

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms, our Privacy Policy and our Disclaimer. If you do not agree, do not use the Service. If you use the Service on behalf of a business, you confirm that you are authorised to accept these Terms for it.

2. Eligibility

You must be at least 18 years old, or the age of legal majority where you live, and able to form a binding contract to use the Service.

3. The Service

eInvoicePad provides free online tools that estimate gross earnings, a tax reserve based on a percentage you choose, net income and a savings "runway", and that let you create PDF invoices in your browser. The Service is provided free of charge and is supported by advertising. We may change, suspend or discontinue any part of it at any time without notice or liability.

4. No Professional Advice

All results are estimates for general informational purposes only. They are not tax, legal, accounting or financial advice, and using the Service does not create a professional relationship with us. The tax figure is a flat percentage you select, not a calculation of your actual tax liability. Always consult a qualified professional before making decisions. See our Disclaimer for details.

5. Your Responsibilities for Invoices

You are solely responsible for every invoice you create, send or rely on using the Service, including:

• the accuracy and completeness of all details, amounts, dates and descriptions;
• making sure your invoices meet the legal requirements that apply to you, such as sequential numbering, business and tax registration numbers (for example GSTIN, VAT or sales tax IDs), tax breakdowns and required wording;
• charging, collecting, reporting and paying any taxes you owe; and
• keeping your own records as required by law.

Invoices generated by the Service are general templates. They may not qualify as a valid "tax invoice" in your jurisdiction without additional information. The Service does not produce e-invoices under India's GST e-invoicing system (no IRP registration, IRN or signed QR code) or under any other government e-invoicing or electronic reporting system. If you are required to use such a system, you must do so separately.

6. Acceptable Use

You agree not to use the Service to:

• create false, fraudulent or misleading invoices, or to impersonate any person or business;
• evade taxes, launder money or carry out any other unlawful activity;
• interfere with, overload or disrupt the Service or its infrastructure, or attempt to gain unauthorised access;
• introduce viruses or other malicious code; or
• click, or cause others to click, on advertisements artificially, or otherwise engage in invalid ad activity.

7. Your Content

Information you enter is processed in your browser and is not sent to us. You keep all rights to your content and to the invoices you generate, and you are responsible for having the right to use any client or business names you enter.

8. Intellectual Property

The Service, including its design, text, graphics, logo, name and software, is owned by Yaswanth Somala, trading as eInvoicePad or our licensors and is protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. You may not copy, resell, frame or create derivative works of the Service, or use our name or logo, without our written permission.

9. Advertising and Third-Party Links

The Service displays third-party advertisements and may contain links to third-party websites. We do not control and are not responsible for their content, products, services or practices, and displaying them is not an endorsement. Your dealings with advertisers are solely between you and them.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ITS RESULTS WILL BE ACCURATE, COMPLETE, RELIABLE, UNINTERRUPTED OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YASWANTH SOMALA, TRADING AS EINVOICEPAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, OR FOR ANY TAXES, INTEREST, PENALTIES OR UNPAID INVOICES, ARISING FROM YOUR USE OF OR RELIANCE ON THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including your statutory rights as a consumer.

12. Indemnification

You agree to indemnify and hold harmless Yaswanth Somala, trading as eInvoicePad from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your misuse of the Service, the invoices you create or send, or your breach of these Terms or of any law.

13. Termination

We may restrict or end your access to the Service at any time if we reasonably believe you have breached these Terms. Sections that by their nature should survive termination will survive.

14. Changes to These Terms

We may revise these Terms from time to time. Changes take effect when posted on this page with a new "Last updated" date. Continuing to use the Service after changes are posted means you accept the revised Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of India, without regard to its conflict-of-law rules, and the courts of India have jurisdiction over any dispute arising from them. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring proceedings there.

16. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. Our failure to enforce a provision is not a waiver of it. These Terms, together with the Privacy Policy and Disclaimer, are the entire agreement between you and us regarding the Service. You may not assign these Terms; we may assign them in connection with a transfer of the Service.
